Cost: The Seller agrees to pay Firm the amount outlined in their selected package for creating and sharing social media posts described in this Agreement.
Listing Information: The Seller acknowledges that the Firm has the authority to retrieve information directly from Realtor.ca and any other relevant sources on the internet regarding the Property. This may include but is not limited to, property details, images, and other relevant information needed for the creation of real estate listings. The Seller agrees to cooperate with Treadstone Law in providing accurate and up-to-date information for this purpose.
Authorization to Create and Share Listings: The Seller grants the Firm the authorization to create, publish, and share Property information, including text, images, and other related content, on various social media platforms and any other marketing channels deemed appropriate by the Firm.
Use of Treadstone Law: If the Seller selects Premium or Platinum Package and does not use the Firm to close their real estate transaction, the Seller agrees to pay the Firm a penalty of $1,000 plus HST in addition to any expenses incurred by Firm. The Fee to use the Firm to close Seller’s transaction will be determined by the Firm and is subject to change.
Accuracy of Information: The Seller acknowledges that the Firm has the authority to retrieve information directly from Realtor.ca and other sources on the internet for the creation of social media posts for the Property. The Seller is responsible for ensuring the accuracy of all information obtained from these sources and will promptly inform the Firm of any changes or inaccuracies.
No Warranties or Guarantees: The Seller expressly acknowledges and agrees that the Firm makes no warranties or guarantees, whether explicit or implied, regarding the level of exposure the listing may receive on social media or any other marketing channels. The Firm further makes no warranties or guarantees on the nature, demographics or any characteristics of the audience who view the social media posts. The Seller agrees to hold the Firm harmless and releases it from any claims or liabilities arising out of the lack of sale or exposure, to the fullest extent permitted by law.
Limitation of Liability: The Seller understands and agrees that the Firm shall not be liable for any errors, omissions, inaccuracies, or misrepresentations in the Property social media posts, whether intentional or unintentional.
Release and Indemnity: The Seller releases and indemnifies the Firm, its employees, agents, and representatives from any claims, losses, damages, or liabilities arising out of or in connection with the creation, publication, or sharing of social media posts of the Property.
Marketing: The Seller agrees to be contacted by the Firm with marketing material.
Termination: Either party may terminate this Agreement at any time by providing written notice to the other party.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario.
Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral.
